These terms are an agreement between you and FlowForged Analytics LLC (“FlowForged Analytics”, “we”, “us”). They cover this website, our NinjaTrader 8 indicators and tools (paid, beta and free), and any service we provide with them. By using the website, requesting or downloading a tool, or subscribing, you agree to these terms, to our Sales Policy and to our Risk Disclosure. Our Privacy Policy explains how we handle your information. If you do not agree, do not use the website or the software.
1. Who can use the software
You must be at least 18 and able to enter into a binding contract. If you use the software for a company, you agree to these terms for that company.
2. Your license
We grant you a personal, limited, non-exclusive, non-transferable and revocable license to install and use our software for your own trading, on the NinjaTrader 8 installation registered to your license by its Machine ID. A suite license lasts while your subscription is paid up, or, for beta testers, while your beta access lasts. Free tools are licensed on the same terms at no charge. We sell licenses, not copies: we keep ownership of the software and everything in it.
3. What you may not do
4. License checks
The suite checks your license with our license server when it starts, sending your Machine ID. If the server cannot be reached, or the license has expired or been revoked, the suite may stop working until the check succeeds. When you move to a new computer, email us and we will move your license at no charge.
5. Private beta
Beta access is free and by invitation. Beta software may be unfinished, may change or break, and may lose settings between versions. We can change or end the beta, or anyone’s access to it, at any time. If you send us feedback or ideas, we may use them freely and without owing you anything.
6. Subscriptions and payment
Paid subscriptions, billing, renewal, cancellation and refunds are covered by our Sales Policy, which is part of these terms.
7. Trading risk, and tools that act on your account
Our software is a set of analytical and trade-management tools. It is not trading advice, and we are not a broker, an investment adviser or a commodity trading advisor. You make every trading decision and you are responsible for every trade and every result. Futures trading carries a substantial risk of loss; read the Risk Disclosure.
Some tools act on your account when you tell them to: Risk/Reward sends the bracket orders you plan after you confirm them, and Auto BE moves the working stops on a position when price reaches a trigger line you draw. You are responsible for checking every order these tools send or change, and for testing them on a simulation account before using them with real money. Orders can be rejected, filled at a different price or not sent at all because of connection, platform, broker or market conditions.
8. Other companies’ products
The software runs inside NinjaTrader and depends on your data feed, broker and computer. Those are other companies’ products under their own terms, and we are not responsible for them. NinjaTrader® is a registered trademark of NinjaTrader Group, LLC, which is not affiliated with us and does not endorse us.
9. Changes to the software
We may update, change or remove features, indicators or free tools, and we may stop offering a product. We do not promise that the software or the website will always be available, error-free or compatible with every version of NinjaTrader.
10. Our property
The software, the website, our names, logos, screenshots and written material belong to us or our licensors and are protected by law. These terms give you no rights in them beyond the license above.
11. No warranty
The software and the website are provided “as is” and “as available”. To the fullest extent the law allows, we make no warranty of any kind, express or implied, including that the software is accurate, reliable, fit for a particular purpose, free of errors or non-infringing, or that it will produce any trading result. Levels, signals, statistics and probabilities describe past data and can be wrong.
12. Limits on our liability
To the fullest extent the law allows, we are not liable for any trading losses, lost profits, lost data, or any indirect, incidental, special or consequential damages arising from the software, the website or these terms, even if we were told they were possible. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose, or US$50 if you paid us nothing. Some places do not allow some of these limits, so they apply to you only as far as your local law permits.
13. Your responsibility to us
You agree to cover our reasonable costs, including legal fees, if a claim is brought against us because you broke these terms or misused the software.
14. Ending these terms
You can stop using the software at any time. We can suspend or end your license if you break these terms, including by sharing it or bypassing the license check; if we do, no refund is due. When your license ends you must stop using the software and delete it. Sections 3, 7 and 10 to 16 continue to apply after it ends.
15. Changes to these terms
We may update these terms. We will post the new version here with a new date, and if a change is significant and you have a subscription, we will email you before it applies. Continuing to use the software after a change takes effect means you accept it.
16. Law and disputes
These terms are governed by the laws of the State of Texas and the United States, without regard to conflict-of-law rules. Any dispute will be heard in the state or federal courts located in Montgomery County, Texas, and you and we agree to those courts’ jurisdiction. If you are a consumer living outside the United States, this does not take away protections that the law of your country gives you. If any part of these terms cannot be enforced, the rest still applies. These terms, the Sales Policy, the Risk Disclosure and the Privacy Policy are the whole agreement between us about the software.
